1. Who we are
123 Uren is a trade name of 123-NL B.V., located at Hurksestraat 60, 5652 AL Eindhoven, the Netherlands, registered with the Dutch Chamber of Commerce (KVK) under number 88560686 (hereinafter: "123 Uren", "we").
These terms and conditions apply to all use of the online service 123 Uren at 123-uren.nl and app.123-uren.nl (the "Service") and to every agreement between 123 Uren and the customer.
2. The Customer
The Service is intended for businesses and organisations. The customer is the business or organisation that creates an account (hereinafter: "Customer"). The person who creates the account declares that they are authorised to represent the Customer.
The Customer is responsible for the users it invites and for all use that takes place through its account.
3. Trial period
A new account receives a free trial period of 14 days. During the trial period there are no costs and no payment details are required.
If the Customer does not choose a subscription after the trial period, access to the Service is paused. The data is kept for a further 30 days and is deleted after that.
4. Subscription, prices and payment
The subscription runs on a monthly basis and is automatically renewed for one month each time. The applicable prices are published at 123-uren.nl/prijzen. All prices are exclusive of VAT.
The first month is paid in advance via iDEAL or credit card. After that, the amount is collected automatically every month via our payment provider Mollie. The Customer receives an invoice every month.
If a payment fails, we will try again and inform the Customer. If payment is still not received, we may suspend access to the Service until payment has been made.
We may change the prices. We will announce a price change by email at least 30 days in advance. If the Customer does not agree, it may cancel before the new price takes effect.
Amounts paid are not refunded, including in the event of cancellation during a current month.
5. Cancellation
The Customer may cancel the subscription at any time within the Service. Access continues until the end of the paid month.
We may terminate the agreement with 30 days' notice, or with immediate effect if the Customer seriously breaches these terms and conditions.
6. Use of the Service
The Customer uses the Service only for its own business operations and in accordance with the law. It is not permitted to misuse, copy or resell the Service or to circumvent its security.
The Customer keeps login details confidential and reports any misuse to us immediately.
7. Customer data
All data that the Customer enters into the Service, such as hours, projects, expense claims, receipts and invoices, remains the property of the Customer.
For personal data that the Customer processes in the Service, the Customer is the controller and 123 Uren is the processor. Article 8 of these terms and conditions serves as the data processing agreement.
The Customer may export its data at any time via the reports. After the end of the agreement, we keep the data for a further 30 days; after that it is deleted, unless a statutory obligation requires us to keep it longer.
8. Data processing agreement
We process personal data only on the instructions of the Customer and only to provide the Service. We do not use the data for our own purposes.
We take appropriate technical and organisational measures, including encrypted connections, access restriction per organisation and storage in data centres within the European Union.
We engage the following sub-processors: Supabase (database and storage, EU), Netlify (hosting), Resend (email, EU) and Mollie (payments, the Netherlands). We will inform the Customer in advance of any change of sub-processors; the Customer may object to such a change by cancelling.
Employees and parties who have access to the data are bound by confidentiality.
We will report a data breach affecting the Customer's data without undue delay, and no later than 48 hours after we have discovered it.
We assist the Customer with requests from data subjects, such as a request for access or erasure, insofar as the Customer cannot handle this itself in the Service.
9. Availability and support
We do our best to keep the Service available at all times, but cannot guarantee uninterrupted availability. We carry out planned maintenance outside office hours as far as possible.
We provide support by email and WhatsApp on working days between 09:00 and 17:00.
10. Liability
Our liability is limited to direct damage and to no more than the amount the Customer paid us in the 12 months before the event causing the damage.
We are not liable for indirect damage, such as loss of profit, missed savings or loss of data caused by actions of the Customer or its users.
These limitations do not apply in the event of intent or deliberate recklessness on the part of 123 Uren.
11. Changes to these terms and conditions
We may change these terms and conditions. We will announce important changes by email at least 30 days in advance.
12. Applicable law
These terms and conditions and the agreement are governed by Dutch law. Disputes will be submitted to the competent court of the District Court of Oost-Brabant (Rechtbank Oost-Brabant).
These terms and conditions have been translated into several languages. In the event of any discrepancy between a translation and the Dutch text, the Dutch text prevails.
